Terms of Service
Last updated October 23, 2026
These terms are an agreement between Lucent AI, Inc. (“Lucent”, “we”, “us”) and the practice that uses Lucent Scribe (“your practice”, “you”). By creating a practice or using Lucent Scribe, you agree to these terms and to our Privacy Policy. If you accept on behalf of a practice, you confirm that you are allowed to bind it.
What Lucent Scribe does
Lucent Scribe records conversations between your staff and patients, transcribes them, and drafts visit notes and follow-up messages. It is a documentation tool. It does not give medical advice, diagnose, or make clinical decisions.
Review every note
Transcripts and drafts can contain mistakes, including wrong names, doses or details. A qualified member of your staff must review and correct every note and message before it is saved to a patient’s record or sent to a patient. Your practice remains responsible for its clinical decisions and its patient records.
Recording consent and patient notices
Some states require everyone in a conversation to agree before it is recorded. Your practice is responsible for telling patients about recording, getting any consent the law requires, and giving any privacy notices it owes its patients.
Accounts and your team
Keep sign-in details private and tell us right away if you think an account has been misused. The practice owner decides who joins the team and is responsible for what team members do in Lucent Scribe. Only people who work for or with your practice may use its account.
Your information
Your practice owns the information it puts into Lucent Scribe, including patient information. You allow us to store and process it only to provide, secure and support Lucent Scribe for you. Where patient information is involved, we act as your business associate and will sign a Business Associate Agreement (BAA) with you. Where a BAA is in place, it controls how we handle protected health information. Our Privacy Policy explains how we handle information in more detail.
Acceptable use
You agree not to:
- use Lucent Scribe in a way that breaks the law or someone else’s rights;
- record anyone without the consent the law requires;
- try to get into accounts or information that are not yours;
- copy, resell, or reverse engineer Lucent Scribe, or use it to build a competing product;
- interfere with Lucent Scribe or overload it, including through automated access.
Fees
If your plan has fees, they are set out in your order or invoice. Fees are due as stated there and, unless the law requires otherwise, are not refundable.
Changes to Lucent Scribe
We improve Lucent Scribe often, so features may change. If we remove something your practice relies on, we will tell you ahead of time when we reasonably can.
Ending this agreement
You can stop using Lucent Scribe at any time. We may suspend or close an account that breaks these terms or puts patients, other practices or Lucent at risk, and we will tell you why unless the law prevents it. When an account closes, we handle its information as described in our Privacy Policy and any BAA.
Disclaimers
Lucent Scribe is provided “as is” and “as available”. To the extent the law allows, we make no promises that it will be error-free or always available, and we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Limits on liability
To the extent the law allows, neither side is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Our total liability for any claim about Lucent Scribe is limited to the amount your practice paid us in the 12 months before the claim, or $100 if it paid nothing.
Your responsibility to us
Your practice will defend and cover Lucent against claims that come from its use of Lucent Scribe in breach of these terms or the law, including recording without required consent or relying on a note it did not review.
Governing law
These terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in California.
Changes to these terms
When we change these terms, we will update the date at the top. If a change is important, we will tell practice owners by email or in the app before it takes effect. Continuing to use Lucent Scribe after that means you accept the new terms.
